Desktop License (Printed Materials)
End User License Agreement (EULA) for Desktop Use of Font Software concluded between
Ján Filípek, M. A. / DizajnDesign (the "Licensor")
and
The end user of the font software (the "Licensee" or "User").
ARTICLE I.
SUBJECT MATTER OF AGREEMENT
This Agreement grants the Licensee the right to use the Font Software solely for desktop use in printed materials. All other intellectual property rights arising from the Font Software remain with the Licensor and are not transferred under this Agreement.
By downloading, installing, or using the Font Software, the Licensee agrees to be bound by the terms and conditions set forth in this End User License Agreement (EULA).
ARTICLE II.
CONDITIONS OF USAGE OF FONT SOFTWARE
1. Permitted number of USERS
Font Software may be used only by one (1) user, on maximum number of three (3) computers (desktop computer, laptop or tablet). Computers may be connected to an optional number of output devices (like laser and inkjet printer).
However, Font Software may be downloaded to memory (hard disk or RAM) of only one (1) output device, provided the Licensee has to undertake that the Font Software will be sufficiently secured against any option with respect to its illegal acquisition.
The Font Software may be stored on output devices (e.g., printers) only if properly secured against unauthorized access or duplication.
For organizations requiring installation across multiple devices or by multiple employees, a multi-user license is required. Under a multi-user license, the Font Software may be installed on multiple devices used by licensed employees (such as desktop computers, laptops, or tablets), provided those devices are owned or controlled by the Licensee.
2. Other Usage
This license covers the installation and use of the Font Software on desktop computers owned or controlled by the Licensee. All other uses (web, apps, video production, television, film, streaming, broadcasting, ebooks, digital ads, server use, etc.) require a separate license.
3. Restriction on Video and Social Media Use
This license strictly prohibits the use of the Font Software for any television, film, streaming, movies, or commercial video broadcasting.
Video content created for social media platforms (such as YouTube, Instagram, TikTok) is permitted under this Desktop License only if the content does not exceed 100,000 views. Any use beyond this limit requires a separate Broadcasting License.
4. Backup Copy
The Licensee may make a reasonable number of copies of the Font Software for strictly archival purposes. This copy must include the license agreement, trademark, and typeface specimen.
5. Provision to Third Parties
The Licensee may temporarily provide the Font Software to a third-party service provider (e.g., printer, developer, or contractor) working on the Licensee’s behalf, only if:
(a) The third party agrees in writing to use the Font Software exclusively for the Licensee’s project in accordance with this EULA.
(b) The third party deletes all copies of the Font Software upon completion of the project.
The Licensee may not otherwise share, distribute, or sublicense the Font Software.
6. Transfer of License
The rights granted under this license are non-transferable.
The Licensee may not assign, sell, rent, lease, or sublicense the Font Software to any third party, except as expressly permitted in section 5 above.
7. Modifications and Conversions
The Font Software, in whole or in part, may not be modified, converted, altered, reverse-engineered, or otherwise changed.
8. Embedding
Embedding the Font Software into digital documents (such as PDFs) or websites is only permitted in secure, read-only mode. Interactive PDFs (e.g., forms, editable documents) are explicitly excluded from this permission.
9. Publication
No part of the Font Software may be published, shared, or distributed by any means without the prior written permission of the Licensor.
10. Credit / Attribution
The Font Software is protected by trademark and copyright law.
When used in printed or published works, the typeface may be credited as follows:

ARTICLE III.
Warranty
1. Font Software will be repaired or replaced only if defective. The Licensee must notify the Licensor that Font Software is defective within the period of 90 days after delivery.
2. Guarantee shall not be applied to converted, modified or otherwise changed Font Software.
3. Guarantee shall not cover assurance of performance, result or marketability of product with usage of Font Software, nor applicability of purchase for particular purpose.
4. The Licensor is not obliged to compensate for Font Software or return paid amount, if its malfunction was caused by accident, abuse or loss of Font Software as a result of theft, natural disaster, negligence etc.
5. To the maximum extent permitted by applicable law, the Licensor shall in no event be liable for any consequential, indirect, incidental, criminal or other special damages (loss of business profits, loss of business information etc.).
6. In any case, the Licensor’s total liability for any claims, damages, or losses arising out of the use of the Font Software shall be strictly limited to the amount actually paid by the Licensee for the license.
7. The Font Software does not collect or process personal data. The Licensee is solely responsible for ensuring compliance with applicable data protection laws (e.g., GDPR) when using the Font Software.
ARTICLE IV.
TERMINATION OF LICENCE
Any breach of this Agreement entitles the Licensor to terminate the license with immediate effect, without refund or compensation.
Upon termination, the Licensee must immediately delete all copies of the Font Software.
ARTICLE V.
CLOSING PROVISIONS
1. This Agreement may not be modified or amended in any way unless agreed in writing by both parties.
2. This Agreement is governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law principles.
3. Approval of content of Agreement is expressed by usage of Font Software. As a result of this, this Agreement is concluded.
4. Disputes shall be resolved before the competent courts of the Czech Republic, specifically the court having subject-matter jurisdiction in Prague.
5. The Licensor shall not use the Licensee’s or the Licensee’s affiliates’ respective names or logos in marketing materials, advertising or otherwise, without the Licensee’s prior written consent in each instance.
ARTICLE VI.
MISCELLANEOUS PROVISIONS
1. Force Majeure
Neither party shall be liable for failure to perform its obligations due to events beyond its control (e.g., natural disasters, war, strikes, pandemics). In such cases, the affected party shall notify the other party without undue delay.
2. Indemnification
The Licensee shall indemnify, defend, and hold harmless the Licensor against any and all claims, damages, liabilities, or expenses arising from the Licensee’s unauthorised use of the Font Software.
3. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
4. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, or understandings, whether written or oral.
Webfont Licence

The end user of the font software (the "Licensee" or "User").
ARTICLE I.
SUBJECT MATTER OF AGREEMENT
The subject of this Agreement is the granting of a non-exclusive, non-transferable license to the User for the use of the font software in web-based environments. All other rights, including but not limited to copyrights, moral rights, and any other intellectual property rights resulting from the creative work embodied in the font software, remain the exclusive property of the Licensor.
By downloading, installing, embedding, or otherwise using the font software (hereinafter referred to as the "Webfont"), the User agrees to be bound by the terms and conditions set forth in this End User License Agreement ("EULA").
ARTICLE II.
CONDITIONS OF USAGE OF FONT SOFTWARE
1. Rights Granted
This Agreement grants the Licensee a perpetual, worldwide, non-exclusive, and non-transferable right to embed and use the Webfont solely on websites owned or controlled by the Licensee, using the CSS @font-face rule.
2. Other Usage
This license covers solely the embedding and use of the Webfont on websites owned or controlled by the Licensee via the CSS @font-face rule. All other uses (desktop installation and use on computers, mobile apps, video production, television, film, streaming, broadcasting, ebooks, digital ads, server use, etc.) require a separate license.
3. Permitted Web Use
The Licensee shall only use the Webfont file(s) (typically in .woff or .woff2 formats) supplied by the Licensor under this EULA. Use of full OpenType (.otf or .ttf) fonts intended for desktop installation is expressly prohibited.
4. Traffic Limitations
The total monthly website traffic, measured in pageviews, must not exceed the amount specified in the Receipt. Monthly pageviews can be verified via the Licensee’s web analytics platform (e.g. Google Analytics). If website traffic consistently exceeds the licensed limit, the Licensee is required to purchase a license upgrade covering the higher traffic tier.
5. Domain Ownership
The Webfont may only be used on domains and websites owned or directly controlled by the Licensee. Use on third-party platforms, SaaS marketplaces, or web-building services for third parties is prohibited unless explicitly licensed.
6. PDF Report Embedding
The Licensee is permitted to embed the Webfont in Portable Document Format (PDF) reports automatically generated and exported by the licensed website(s), provided that such reports are not sold for commercial gain or profit.
7. Modifications and Technical Adjustments
The Licensee shall not modify, adapt, convert, decompile, reverse-engineer, or otherwise alter the Font Software or any part thereof, except where technical modifications (such as font subsetting or format conversion) are strictly necessary for web performance optimization and speed improvement, provided the core design and structure of the font are not altered.
8. Backup Copy
The Licensee may make a reasonable number of copies of the Font Software for strictly archival purposes. This copy must include the license agreement, trademark, and typeface specimen.
9. Provision to Third Parties
The Licensee may temporarily provide the Font Software to a third-party developer, designer, or contractor ("Agent") working on the Licensee's behalf, only if: (a) the Agent agrees in writing to use the Font Software exclusively for the Licensee’s project in accordance with this EULA, and (b) the Agent deletes all copies of the Font Software immediately upon completion of the project. The Licensee may not otherwise share, distribute, or sublicense the Font Software.
10. Header & Copyright Notice
The Licensee must retain and display the full copyright header included in the provided CSS file.
11. Transfer Restrictions
The rights granted under this Agreement may not be assigned, sublicensed, sold, or otherwise transferred to any third party without prior written consent from the Licensor.
12. Term and Licensing Fees
This license is granted for an indefinite term, subject to compliance with the scope and traffic limits specified herein and in the Receipt, unless terminated under Article IV. No additional or recurring subscription fees shall be imposed for the initial licensed traffic tier.

ARTICLE II.
CONDITIONS OF USAGE OF FONT SOFTWARE
1. Permitted Use
The Fonts may only be embedded in Apps that are owned or controlled by the Licensee.
The Fonts may be embedded in multiple versions and copies of the same App.
The Fonts may be embedded in multiple distinct Apps under a single licence, provided the total number of Monthly Active Users (MAUs) does not exceed the purchased limit.
Apps may be distributed across any platform (e.g., iOS, Android, Windows, Mac, etc.).
Fonts may be subset or modified to improve performance within the App.
2. Storage & Backup
The Fonts may be stored on a server or cloud platform owned or controlled by the Licensee for asset management purposes.
The Licensee may make a reasonable number of backup copies for disaster recovery purposes only.
3. Monthly Active Users (MAU) Limit
Apps embedding the Fonts must not exceed the number of Monthly Active Users as stated in the licence purchase confirmation (Receipt).
MAUs are calculated either by unique users over a 30-day period or total downloads, whichever is higher.
4. Embedding in Reports
Embedding of Fonts in PDF reports exported by the App is permitted, provided the reports are not sold for profit.
5. Restrictions
It is strictly prohibited to:
Install the Fonts on operating systems
Include Fonts in Apps that allow third-party typesetting (e.g. image or layout editors)
Distribute Fonts with App source code
Use the Fonts in cloud-based platforms where third parties can access or generate content with them
Embed Fonts in editable templates, ebooks, electronic devices, or any system not explicitly covered by this EULA
6. Provision to Third Parties
The Licensee may temporarily provide the font software to a third-party service provider (such as a printer, developer, or contractor) working on the Licensee's behalf, only if:
(a) the third party agrees in writing to use the font software exclusively for the Licensee’s project in accordance with this EULA, and
(b) the third party deletes all copies of the font software upon completion of the project.

Font software or its parts cannot by converted or changed by other means, modified, adjusted or amended.
